Does an LLC Protect My Business Name? (LLC vs. Trademark)

By Nuzayra Haque-Shah, Esq., California-licensed intellectual property attorney, NH Legal P.C. Updated November 2026. This is general information, not legal advice for your situation.

Short answer: an LLC does not protect your brand name. Forming an LLC only stops another entity from registering the identical legal name in your state. A federal trademark is what gives you nationwide rights to the name for your goods or services and lets you stop similar brands.

LLC name vs. trademark, side by side

  • LLC (state business registration): protects the legal entity name, in one state, against identical entity names only. Does not cover your logo, product names, or anyone using a similar brand.
  • Federal trademark (USPTO): protects the brand name, logo or slogan, nationwide, against confusingly similar marks for related goods or services. Gives you the ® symbol once registered.

The common mistake

Founders form the LLC, get approved by the state, and assume the name is theirs. The state does not run a trademark search. Months later a cease-and-desist arrives from a company that registered a similar brand first. If that is already happening, read can I trademark a name someone else is using?

The right order

  1. Comprehensive trademark search ($899 at NH Legal; what it covers)
  2. Form the LLC
  3. File the trademark (StartUp Trademark Package, $3,999 flat plus USPTO fees, includes two searches)

Quick answers

Does forming an LLC protect my business name?

Not as a brand. Registering an LLC reserves the legal entity name with your state's business registry, so no other entity in that state can register the identical name. It does not stop anyone from using a similar name as a brand, in your state or anywhere else.

Do I need a trademark if I have an LLC?

If the name is your brand, yes. A federal trademark registration gives nationwide rights to the name for your goods or services and is what lets you stop confusingly similar brands.

Should I form an LLC or file a trademark first?

Run a trademark search before you form the LLC, print signage, or buy a domain. If the name has a conflict, it is cheaper to find out before the entity and branding exist.
