Terms and conditions (Membership)

Legally Savvy CEO Club Terms and Conditions

Effective Date: June 1st, 2026

Please read these Membership Terms and Conditions carefully before enrolling in the Legally Savvy CEO Club. By completing your enrollment and submitting payment, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not enroll.

These Terms constitute a legally binding agreement between you (the Member) and NH Legal PC, a professional law corporation organized under the laws of the State of California (the Company, we, us, or our).

1. Definitions

For purposes of these Terms, the following definitions apply:

“Membership” means your enrollment in the Legally Savvy CEO Club, a legal services membership program offered by NH Legal P.C.

“Member” means any individual or entity that has enrolled in the Membership and whose payment has been successfully processed.

“Membership Benefits” means the services and resources described in Section 3 of these Terms, which are included as part of your monthly Membership fee.

“Membership Fee” means the monthly fee charged for your Membership, as set forth at the time of enrollment.

“Membership Term” means the initial 12-month commitment period beginning on the date your enrollment is processed.

“Company’ means NH Legal P.C.

“Contract Hub” means the library of attorney-reviewed contract templates and legal guides made available to Members through the Company’s designated platform.

“IP Registrations” means the trademark and copyright registrations included in your Membership after six consecutive months of active Membership, as described in Section 3.

2. Membership Enrollment and Commitment

2.1 Enrollment

Membership is available to individuals and business entities that meet the eligibility requirements set forth by the Company. The Company reserves the right to approve, deny, or revoke Membership at its discretion.

2.2 Minimum Commitment Period

By enrolling in the Legally Savvy CEO Club, you agree to a minimum commitment period of twelve (12) consecutive months beginning on the date your enrollment is processed (the Membership Term). You will be billed monthly throughout the Membership Term.

2.3 Pricing

Your Membership Fee is set at the rate displayed at the time of your enrollment. Members who enrolled during the launch window (June 17 through July 1, 2026) at the promotional rate of $799 per month will retain that rate for the duration of their active, uninterrupted Membership. If your Membership lapses or is canceled and you subsequently re-enroll, the promotional rate will no longer apply, and your Membership Fee will be based on the then-current standard rate.

2.4 Billing

Your Membership Fee will be charged monthly to the payment method on file beginning on the date of enrollment and on the same date each subsequent month. You authorize the Company to charge your payment method automatically on a recurring monthly basis for the duration of your Membership.

If a payment fails, the Company will attempt to process the payment again. If payment cannot be collected after reasonable attempts, your Membership may be suspended or terminated, and you will lose access to Membership Benefits.

3. Membership Benefits

During your active Membership, you will receive access to the following benefits, subject to the terms and limitations set forth in this Section:

3.1 Direct Attorney Access

Members receive email access to the NH Legal team. Members may also receive access to a designated Slack channel with direct access to the NH Legal team, available Monday through Friday during regular business hours.

Slack access is intended for general legal questions, guidance on legal strategy, and time-sensitive matters requiring prompt communication. Responses through Slack do not constitute formal legal opinions or comprehensive legal representation. Complex matters requiring full legal representation will be discussed and quoted separately.

3.2 Monthly Trademark Search or Contract Review

Each month, Members may request one of the following, at their election:

  • Trademark Search: A search of the USPTO database and relevant records to monitor the landscape for conflicts and flag potential issues with your brand identifiers. The search covers the marks you designate and includes a written summary of findings.
  • Contract Review: An attorney review of one contract or agreement of up to ten (10) pages. The review includes risk flags, negotiation notes, minor red-lining, and direct attorney guidance on the reviewed document.

Monthly trademark searches and contract reviews are non-transferable, non-cumulative, and do not roll over to subsequent months if unused. Each benefit resets on the first day of each billing cycle.

3.3 IP Registrations After Six Months

Members who have maintained an active, uninterrupted Membership for six (6) consecutive months become eligible for the following included IP registrations per year:

  • One (1) federal trademark application filed with the USPTO on behalf of the Member, covering one mark in up to two classes of goods or services; AND
  • Two (2) copyright registrations filed with the U.S. Copyright Office on behalf of the Member for eligible original works.

The Member must elect which registration type they wish to receive. The trademark and copyright options are not combinable within three (3) months of the first filing.

IP registrations are subject to the following conditions:

  • The Member must provide all required information, documentation, and cooperation necessary to complete the registration.
  • The Company cannot guarantee registration approval, as final decisions rest with the USPTO or U.S. Copyright Office. The Company will represent the Member through the standard examination process, including responding to non-substantive Office Actions.
  • Substantive Office Actions, oppositions, TTAB proceedings, or other contested proceedings are not included in the Membership and will be quoted as separate engagements if required.
  • The eligible registration period begins six months after the Member’s enrollment date and resets annually on that date.
3.4 Contract Hub Access

Members receive access to the Company’s Contract Hub, which includes a library of attorney-reviewed contract templates and legal guides. Contract Hub materials are provided for informational and reference purposes. Templates should be reviewed and customized for your specific situation before use. Use of Contract Hub templates does not create an attorney-client relationship with respect to those documents unless the Member separately engages the Company for review.

3.5 Legal Masterclasses

Members receive access to legal masterclasses hosted by Nuzayra Haque-Shah, Esq., and guest legal experts. Masterclasses include live Q&A. Recordings will be made available to Members who are unable to attend live, subject to availability and scheduling.

3.6 Benefit Limitations

Membership Benefits are available solely to the individual Member or, in the case of a business entity, to one designated representative of that entity. Benefits may not be shared, transferred, or accessed by third parties. The Company reserves the right to modify, add to, or discontinue specific Membership Benefits upon thirty (30) days’ written notice to active Members.

4. Attorney-Client Relationship

4.1 Limited Scope

Your Membership establishes a limited-scope attorney-client relationship between you and NH Legal P.C. with respect to the specific Membership Benefits described in Section 3. This relationship does not extend to legal matters outside the scope of the Membership Benefits unless you separately engage the Company for those matters pursuant to a separate engagement agreement.

4.2 Not Comprehensive Legal Representation

The Membership is not a substitute for full-service legal representation. For matters requiring comprehensive legal counsel, including but not limited to litigation, complex transactions, regulatory compliance, or matters outside the scope of intellectual property and business contracts, you should engage separate legal counsel. The Company will notify you when a matter exceeds the scope of your Membership Benefits.

4.3 No Attorney-Client Relationship for Contract Hub

Access to and use of Contract Hub templates and resources does not in itself create an attorney-client relationship. The templates are provided as reference materials only. You are responsible for ensuring that any template you use is appropriate for your specific circumstances.

5. Cancellation and Termination

5.1 Cancellation by Member

You may cancel your Membership at any time by providing written notice to the Company at support@nhlegal.net. If you cancel before the end of your 12-month Membership Term, your Membership will remain active through the end of the current billing cycle and will not renew. You will not receive a refund for any portion of the current billing period.

5.2 Cancellation After Membership Term

After the completion of your initial 12-month Membership Term, your Membership will continue on a month-to-month basis at the then-current rate unless you provide written notice of cancellation. Month-to-month Members may cancel at any time with written notice and will retain access through the end of the current billing period.

5.3 Termination by Company

The Company reserves the right to terminate or suspend your Membership at any time for cause, including but not limited to violation of these Terms, conduct detrimental to the Company or other members, or failure to make timely payment. Termination for cause will result in immediate loss of Membership Benefits without refund.

The Company also reserves the right to discontinue the Membership program entirely upon ninety (90) days’ written notice to active Members. 

5.4 Effect of Cancellation or Termination

Upon cancellation or termination of your Membership for any reason:

  • Your access to Membership Benefits, including Slack access, Contract Hub, and masterclass materials, will cease at the end of your final billing period.
  • Any IP registrations in progress at the time of cancellation will be completed if the filing has already been submitted to the USPTO or U.S. Copyright Office. Matters not yet filed will not be initiated after cancellation.
  • Any unused monthly trademark searches or contract reviews will expire and will not be honored after your Membership ends.

6. Intellectual Property

6.1 Company IP

All content, materials, templates, methodologies, frameworks, and resources provided through the Membership, including Contract Hub materials and masterclass content, are the proprietary intellectual property of Company. and are protected by applicable copyright, trademark, and other intellectual property laws. Members are granted a limited, non-exclusive, non-transferable license to use these materials for their own business purposes during the term of their active Membership.

Members may not reproduce, distribute, sell, sublicense, or otherwise exploit Company materials for commercial purposes without the prior written consent of the Company.

6.2 Member IP

The Company does not claim any ownership interest in your intellectual property, business information, or materials submitted to the Company in connection with your Membership Benefits. Any trademark applications, copyright registrations, or other filings made on your behalf will be owned by you.

7. Confidentiality

The Company will maintain the confidentiality of information you share in connection with your Membership Benefits in accordance with applicable attorney-client privilege and professional responsibility rules. Information shared through general Membership channels, including group masterclasses or community forums, should not include confidential business information you wish to protect, as the Company cannot guarantee confidentiality in those settings.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NH LEGAL PC, ITS ATTORNEYS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR MEMBERSHIP OR THE USE OF MEMBERSHIP BENEFITS, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO YOUR MEMBERSHIP SHALL NOT EXCEED THE TOTAL MEMBERSHIP FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Disclaimer of Warranties

THE MEMBERSHIP AND ALL MEMBERSHIP BENEFITS ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE MEMBERSHIP, INCLUDING BUT NOT LIMITED TO WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR GUARANTEE OF SPECIFIC LEGAL OUTCOMES.

The Company does not guarantee that trademark applications or copyright registrations submitted on your behalf will be approved by the relevant government agency. Approval decisions rest solely with the USPTO and the U.S. Copyright Office.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its attorneys, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or your misuse of Membership Benefits.

11. Privacy

Your use of the Membership is also governed by the Company’s Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy can be found at nhlegal.net/privacy-policy.

12. Modifications to These Terms

The Company reserves the right to modify these Terms at any time. Material changes will be communicated to active Members via email at least thirty (30) days before taking effect. Your continued Membership after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you may cancel your Membership in accordance with Section 5.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or your Membership shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the dispute within thirty (30) days, the dispute shall be submitted to binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.

14. Entire Agreement

These Terms, together with the Privacy Policy and any separate engagement agreements entered into between you and the Company, constitute the entire agreement between you and NH Legal PC with respect to your Membership and supersede all prior agreements, representations, and understandings relating to the same subject matter.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
